Corporate Law
How to establish a company in Colombia?
When a domestic or foreign entrepreneur decides to start operations in Colombia he or she must perform a number of procedures of a legal nature in which Cárdenas Vega Advisors counsels.
In the area of corporate law, our firm provides the service of company incorporation and registration of the same with the Chamber of Commerce.
By law it is compulsory to register all companies incorporated in Colombia before the Chamber of Commerce assigned to your primary residence.
Our firm handles the incorporation, the registration with the Chamber of Commerce, and the acquirement of the N.I.T. (Tax Identification Number / Número de Identificación Tributaria).
For purposes of the above, the steps described below should be followed:
-
Name query and economic activity.
Our firm provides advice to ensure that the name and address of the company is available in Colombia, because homonymous societies cannot exist in our country.
Similarly, we use the ISIC code to identify the corresponding activities to be undertaken by the society.
-
Definition of corporate structure.
The employer must define what kind of corporation they wish to create in our country.
The most common corporate types are simplified joint stock companies, anonymous companies, and limited liability companies.
Similarly, a foreign company may establish a branch (extension) in Colombia.
-
Registration of naming of administrators of the company (legal representatives, board members, statutory auditors).
-
Registration of books of the company before the Chamber of Commerce.
-
Registrar of Foreign Investment.
Any investment of foreign capital in a company should be registered with the Banco de la República within three (3) months after the receipt of money, as to not incur a foreign exchange violation. This register gives the investor the right to re-export the capital abroad and turn profits. Contact us.
